1. Parties

This agreement is between RV CLEANING ACADEMY LLC, doing business as Cleanello ("Cleanello"), 321 N Sandpiper, Ingleside, TX 78362, United States, and the client who signs below ("Client").

2. Services

Cleanello provides done-for-you Facebook and Instagram advertising for the Client's detailing business: onboarding, ad strategy and targeting, video and image ads with copy, campaign setup and management, instant lead alerts and auto-reply, booking scripts, and a monthly report and strategy call. Cleanello does not answer leads, quote or book jobs for the Client. Ads go live after this agreement is signed, onboarding is complete and account access is given.

3. Fees, payment and ad spend

• Price: $900 per month, or $2,500 every 3 months (ad spend not included), or $4,750 for 3 months including $750 per month in ad spend ($2,250) paid by Cleanello to Meta on the Client's behalf.
• Payment: paid in advance on the start date and every renewal date, billed automatically. If a payment fails and is not fixed within 7 days, Cleanello may pause the campaigns.
• Financing: the $2,500 or $4,750 options may be paid through a third-party financing provider, subject to approval. Repayment obligations are with that provider.
• Ad spend: when not included, the Client pays it directly to Meta, at least $750 per month. When included, budget already spent is not refundable; unspent budget when the agreement ends is refunded within 30 days.
• Taxes: fees do not include sales or similar taxes, which the Client pays if they apply.

4. Term, renewal and cancellation

Initial term of 3 months from the start date. It then continues on the same billing until cancelled; the $4,750 option renews at $2,500 every 3 months with ad spend paid by the Client to Meta, unless both parties agree otherwise in writing. Either party may cancel after the initial term with 30 days' written notice by email. Fees already paid for the current period are not refunded, except under section 5. Either party may end the agreement immediately for a serious breach not fixed within 10 days of written notice.

5. 45 jobs in 90 days guarantee

If the Client does not get at least 45 booked jobs from Cleanello's ads within the first 90 days after the ads go live, the Client can choose a full refund of the management fees paid for those 90 days, or 3 more months of ad management at no cost. Conditions: at least $750 per month in ad spend for 3 consecutive months without pausing or lowering it; every lead called or texted within 2 hours during business hours (Monday to Saturday, 8am to 6pm, local time); proof of follow-up (call logs, texts or CRM records); open calendar slots and pricing within the range agreed at onboarding; onboarding completed, access given, and ads approved within 3 business days. A "booked job" is a lead from the ads who confirmed a date for a paid job, even if they later cancel. Claims must be emailed within 14 days after the 90 days end. Ad spend and setup fees are not covered. The guarantee is void if the Client breaches this agreement, including a missed payment not fixed within 7 days, a chargeback, or removing Cleanello's access.

6. Client responsibilities

Give Cleanello access to its Facebook page and Meta ad account; give accurate information; answer, quote and book its own leads and do the work professionally; hold the licenses and insurance its business needs; and only supply photos, videos, reviews and claims it has the right to use.

7. General terms

Results: apart from section 5, Cleanello does not promise a number of leads, jobs or revenue. Meta may limit or reject ads, and Cleanello is not responsible for Meta's decisions or outages. No advice: nothing Cleanello provides is legal, tax, accounting or financial advice; the Client is solely responsible for its taxes, licenses and compliance. Liability: to the fullest extent the law allows, Cleanello is not liable for any loss arising from the services, the ads, Meta, leads, jobs, customers or the Client's business decisions, including lost profits or indirect damages; if found liable, its total liability is limited to the fees paid in the 3 months before the claim. The Client covers Cleanello for third-party claims arising from its work, content or business. Ownership: the Client may use the ads made for it; Cleanello's templates, processes and scripts remain the property of RV CLEANING ACADEMY LLC. Confidentiality: each party keeps the other's non-public information private. Law: State of Texas. Whole agreement: this is the full agreement; changes must be in writing. Electronic signatures are valid.
